RWA Daily: Tokenized shares face a test of legal rights

Edition 7 November 20264 min read3 sources

In one minute

Dinari plans tokenized exposure to Anthropic shares on the day of its IPO, according to press reporting. The product remains contingent on the listing, while the rights attached to different routes need close examination. In Hong Kong, the monetary authority has expanded a controlled settlement pilot to support interbank settlement around the clock.

The main development

Reporting on November 7 says Dinari plans to offer exposure to Anthropic shares on the day of the company's initial public offering. This is a plan reported by a publication, not confirmation that trading has begun. The final listing timetable and the details of the specific product remain open.

The distinction between an equity exposure and a shareholder's legal position matters. A token can represent an interest recorded alongside a conventional securities account, or a contractual claim whose payoff tracks an asset. Those are different arrangements, even when the same company name appears on the screen. The governing contracts, eligible jurisdictions and the person entitled to enforce a claim determine what a buyer actually receives.

Dinari's US customer documentation describes its US dShares as a secondary ledger for ownership of the underlying securities. It also says partners must explain that the digital representations are not blockchain-native tokens for trading or DeFi. This is documentation for the US service generally; it does not independently establish the final terms of a future Anthropic product or the rights of customers outside the United States.

The US documentation says each wallet must be associated with a verified brokerage account, that issued tokens are currently non-transferable and cannot be used in DeFi, and that corporate actions flow through broker-dealer systems. It identifies Alpaca Securities as a separate clearing provider. These constraints describe the general US route rather than confirmed Anthropic-specific terms.

A familiar ticker can therefore hide several separate questions. Is the user buying a security through a regulated account, holding a contractual exposure, or using a representation subject to transfer restrictions? Which entity holds the underlying asset? Can the holder sell or redeem under stressed conditions? Answers require the specific terms, not simply the fact that a token exists.

There is a credible reason for providers to pursue this market. Software-based distribution could make exposure easier to integrate into an existing application, while a blockchain record can help reconcile certain ownership records. But any improvement depends on the broker, custody, transfer and settlement arrangements operating together. Eligibility rules and market hours can still constrain a customer's experience.

The immediate test is publication of product-specific terms and completion of the IPO. A broad announcement cannot establish what a particular customer is allowed to buy or transfer. There is also no verified basis here for assuming that the token will trade at the same price as the underlying shares or that tokenized distribution changes Anthropic's own shareholder register.

Other developments that matter

The Hong Kong Monetary Authority said on November 2 that EnsembleTX now supports 24/7 interbank settlement of tokenized deposit transactions in tokenized central bank money. The controlled pilot has 12 participating banks and 20 industry pioneers. It had previously used Hong Kong dollar real-time gross settlement for interbank settlement.

A tokenized bank deposit is a claim on a commercial bank. Central bank money used between banks serves a different settlement role. The upgrade addresses when participating banks can settle with one another; it does not prove unrestricted public access or disclose the volume of transactions handled by the new capability. The authority points to corporate treasury and tokenized money-market fund use cases, while actual scale remains to be demonstrated.

What to watch next

For Dinari, product documentation and a completed listing would establish whether the announced route is available and on what terms. For EnsembleTX, a breakdown of transaction volume, operating conditions and participating use cases would show whether the expanded settlement window is being used in practice.
